1. Definitions
Company: REDSTAFF Medical Pte. Ltd. ("REDSTAFF Medical", "we", "us", "our")
Client: The entity or person engaging REDSTAFF Medical (the "Client")
Services: Event Medical Consultation, Event Medical Coverage, or both, as stated in the Quotation/Order.
Consultation: advisory, planning and documentation services relating to medical risk assessment, coverage design and event medical operations.
Coverage: on-site medical teams and equipment deployed to the event.
Personnel: independent contractors or sub-contractors engaged by REDSTAFF Medical to deliver Services (including first aiders, EMTs, nurses, paramedics and other specialists).
Quotation: our written documented offer (including Statement of Coverage/Personnel, scope, rates and special terms).
Order: the Client’s acceptance of a Quotation (i.e., signature on the Quotation document) and creates a binding contract incorporating these Terms. Can colloquially mean the period from the Client's acceptance of our Quotation to Event date(s)
Event: the Client’s event for which Services are engaged.
Kit Fee: the meaning in Clause 13.
PDPA: the Personal Data Protection Act 2012 and associated regulations.
2. Agreement to Terms; with Order of Precedence
By placing an Order, the Client agrees to these Terms.
If there is a conflict between: (a) the Quotation (including any Statement of Work), and (b) these Terms, the Quotation prevails for that Event. Any Client purchase terms do not apply unless expressly agreed in writing by REDSTAFF Medical.
3. Confidentiality & Intellectual Property
3.1 Confidentiality
Each party must keep confidential all non‑public information received from the other in connection with the Services (including event medical plans, strategies, schedules and risk assessments) and use it only to perform the Event. This Clause survives termination.
3.2 IP & License
All documents, plans, templates, reports and other materials created by REDSTAFF Medical in the course of Consultation remain our intellectual property. We grant the Client a non‑exclusive, non‑transferable license to use such materials solely for the specific Event covered by the Order. Any other use, disclosure or adaptation requires our prior written consent.
3.3 Publicity
We may reference the Event and Client name/logo for portfolio or marketing/publicity only, without the Client’s prior written consent. Efforts will be kept to keep any medical incidents in the Event anonymous and non-specific.
4. Advance Notice
4.1 Consultation
For proper delivery of this service, the Client is recommended to submit requests at least 8 weeks before the Event start.
4.2 Coverage
For proper delivery of this service, the Client is recommended to submit requests at least 4 weeks before the Event start.
4.3 Late Requests
Requests made inside the above windows are subject to availability and may be declined or accepted with limitations and/or surcharges (see Clause 12.1). REDSTAFF Medical has sole discretion to accept, limit, or reject late requests.
5. Submission Does Not Guarantee Acceptance
A request for quotation is not an explicit acceptance of the event. Acceptance occurs only when we issue a Quotation and the Client explicitly signs the document. Provision of Coverage is always subject to Personnel and logistics availability and REDSTAFF Medical’s safety assessment.
6. Flexibility & Change Control
6.1 Adjustments
Events are dynamic; scope may require adjustment if more information is made known to REDSTAFF Medical prior to and/or during he event. Any change made by the Client to scope, hours, deployment, locations or dates must be confirmed in writing by both parties, either via email, or a predetermined written communication method (e.g. WhatsApp, Telegram messaging)
6.2 Variation Orders
Material changes may require a revised Quotation and fees. We will not be obliged to deliver out‑of‑scope work without a written variation.
7. Medical Resourcing & Clinical Governance
7.1 Standards
The Client may indicate desired expectations (e.g., level of service, number of personnel).
REDSTAFF will independently assess the Event’s risk profile (activities, crowd, venue, routes/access, medical room, concurrent activity programming) and determine the appropriate level, numbers and skill‑mix of Personnel and equipment with reference to applicable industry guides, best practice and law. Our configuration may differ from the Client’s request.
7.2 Consultation as a Pre‑Condition (when required)
For complex or higher‑risk Events (e.g., contact/combat sports, water‑based activities, mass participation, multi‑site or remote venues, high heat/humidity, pyrotechnic effects), REDSTAFF may require Consultation (e.g. planning, site recce, medical station design, comms integration, alerting of healthcare facilities) before Coverage.
If the Client declines required Consultation or the minimum resourcing/controls we specify, REDSTAFF may:
(i) limit scope to what can be delivered safely within a first‑aid‑only model; or
(ii) refuse/suspend Services (see Clause 7.3 and Clause 20).
To the extent the Client elects to proceed contrary to our written recommendations, REDSTAFF is not liable for resulting gaps or consequences; the Client assumes responsibility and indemnifies REDSTAFF under Clause 16.4.
The Client must provide accurate Event information and promptly notify us of material changes; resourcing will be updated (and may be re‑quoted) accordingly.
7.3 Right to Decline
We may decline an Event before deployment, or suspend/withdraw during an Event (see Clause 20), where in our reasonable professional opinion safety or clinical adequacy cannot be achieved.
Indicators include:
(a) unsafe conditions (e.g., inadequate crowd control/security, and/or uncontrolled vehicle-pedestrian interactions, and/or poor ingress/egress or emergency access, and/or lack of radios/communications, and/or suitable first‑aid room/shelter, non‑compliance with permits/laws, and/or extreme‑risk activities without suitable risk controls), and/or:
(b) inadequate coverage (e.g., staffing below our assessment, and/or unsuitable skill mix, and/or single‑point‑of‑failure deployments, and/or refusal to appoint a clinical/medical operations command & control service, and/or undisclosed or uncoordinated third‑party providers, and/or requests expecting ambulance‑level care under first‑aid deployment/scope).
7.4 Mitigation
Where feasible, we will propose mitigations (revised staffing/skill mix, additional platforms, medical station/equipment, comms integration, layout changes, or appropriate ambulance level) for written approval (Clause 6).
If mitigations are declined or cannot be implemented in time, we may decline or withdraw; fees apply per Clause 15 for Services performed or reserved. Our on‑site clinical lead may make immediate safety adjustments. If the Client insists on proceeding against our written advice, we may refuse, or proceed only on a limited basis recorded in writing; the Client assumes responsibility and indemnifies us under Clause 16.4.
7.5 Scope of Practice
Personnel operate only within their training and competency. First aiders are not a substitute where EMTs/paramedics/nurses are assessed as required.
7.6 Clinical Lead
Where multiple medical providers are present, the Client must appoint REDSTAFF Medical as the Event's medical operations and clinical lead.
7.7 Third‑Party Providers
The Client must inform us of any additional medical providers (including private ambulance services) engaged for the Event prior to deployment.
7.8 Extreme Risk
For extreme‑risk activities we may (i) require additional staffing/equipment, and/or (ii) require Consultation, or (iii) decline the engagement.
7.9 No Guarantee of Outcomes
Medical response reduces risk but cannot eliminate it; we do not guarantee any clinical outcome.
8. Minimum Deployment Requirement
Events exceeding 100 participants require a minimum of two (2) first aiders or higher‑accredited Personnel per Event, unless we assess a lower deployment as suitable. Smaller Events may be supported by fewer Personnel only if assessed appropriate by REDSTAFF Medical.
9. Client Responsibilities (Safety, Access & Welfare)
The Client:
(a) Must provide a safe working environment compliant with all WSH laws and venue rules; complete and share an Event risk assessment. We may also perform risk assessments for our internal purposes.
(b) Should provide a (1) dedicated first aid room/space (private, and/or weather‑sheltered, and/or lit, and/or powered, and/or segregated from the Event's activities), and (2) event/site access passes, inclusive of parking/loading access
(c) Must ensure appropriate stewarding/security and a code of conduct for attendees, staff and volunteers. Abusive, discriminatory or violent behaviour enables immediate withdrawal of Personnel without refund.
(d) Should provide basic welfare for on‑site Personnel (potable water, restroom access, and for deployments exceeding 6 hours, reasonable breaks and meals).
(e) Must obtain and maintain all Event-related non‑medical permits/licences and carry appropriate public liability and other insurances (see Clause 16).
10. Incident Management & Records
10.1 Protocols
Care is provided according to REDSTAFF Medical protocols and individual clinician judgement.
10.2 Consent & Refusal
We obtain patient consent where practicable; competent persons may refuse treatment. Their refusal is documented in the patient care record.
10.3 Data & PDPA
Personal data collected during care is handled under the PDPA. Identifiable medical records are confidential and will only be shared with the patient, receiving healthcare providers, or as required by law. The Client may receive aggregated, de‑identified statistics.
10.4 Reports
On request, we can provide a post‑Event medical summary report; detailed record compilation is a billable add‑on per our price list.
10.5 Medicines & Oxygen
We do not dispense prescription medicines. OTC items and oxygen may be provided per protocol.
Controlled drugs are not carried unless expressly stated in the Quotation.
11. Booking, Minimums & Extensions
11.1 Minimums
On‑site medical teams: 3‑hour minimum per booked session.
Ambulance standby (via our partners): 3‑hour minimum per booked session.
11.2 Quoted Window
The quoted start‑to‑end window is the minimum billable period. Early finish does not reduce the charge.
11.3 Extensions. If the Event overruns, additional time is billed in 30‑minute blocks with a 10‑minute grace at the start of each block. Hourly rates remain constant; no overtime multiplier applies unless stated in the Quotation or part of our Surcharges (Clause 12).
Examples:
(i) Ends 21:19H → billed to 21:30H
(ii) Ends 21:32H → billed to 21:30H (within 10‑minute grace from 21:30H)
(iii) Ends 21:40H → billed to 22:00H
12. Surcharges & Public Holidays
12.1 Late Booking Surcharge.
Coverage Service requests made ≤ 5 calendar days before the Event date: +10% surcharge.
12.2 Public Holiday Multiplier.
Coverage rendered during any Singapore gazetted public holiday (including any Substitute Public Holiday declared by the Singapore Government) is billed at 1.5x the hourly rate unless otherwise agreed in the Quotation.
For disambiguation:
(a) The Public Holiday window is 0000 to 2359 hours (Singapore Time) on the gazetted PH date.
(b) The multiplier applies only to billed time units (30‑minute blocks per Clauses 11.3 and 14.10) that fall wholly or partially within the PH window. Time units outside the PH window are billed at the standard rate.
(c) If a booking spans into or out of the PH window, the multiplier applies pro‑rata by billed unit only to the overlapping blocks.
(d) For consecutive PH days (e.g., Chinese New Year Day 1 & Day 2), each day has its own PH window.
(e) Set‑up/stand‑down time that falls within the PH window is not part of the booked time and does not attracts the multiplier.
(f) Eves of public holidays are not treated as PH.
(g) Unless the Quotation states otherwise, the PH multiplier is applied to the base hourly rate for the affected billed units; other applicable surcharges (e.g., late booking) are then calculated on the resulting subtotal.
Examples:
(1) Booking 22:00H to 03:30H; PH on the next day → Blocks from 00:00H – 03:30H are billed at 1.5x; earlier blocks remain at standard rate.
(2) Booking 23:50H to 00:05H; PH on the next day → The 00:00H – 00:30H billed block is at 1.5x.
13. Kit Fees & High‑Value Consumables
13.1 Kit Fee
A flat price per three‑hour block, per deployed team applies and covers routine consumables (e.g., trauma dressings, bandages, ice, oxygen administration, taping, cold packs). The Kit Fee is independent of the number of bags issued to that team (one or more bags).
13.2 Counting & Rounding
The Kit Fee is calculated per commenced 3‑hour block for each team, based on that team’s booked/extended time on site (including set‑up and stand‑down that form part of the booked window). Any part of a 3‑hour block is charged as a full block. Time extensions are charged per Clause 11.3 for time, with the Kit Fee recalculated accordingly.
Examples:
(a) 1 team, 2 bags = 1 Kit Fee block per commenced 3 hours → prevailing Kit Fee rate, x1, per 3-hour block period.
(b) 2 teams, 2 bags total: 2 Kit Fee blocks per commenced 3 hours → prevailing Kit Fee rate, x2 teams, per 3-hour block period.
(c) 2 teams, 4 bags total: 2 Kit Fee blocks per commenced 3 hours → prevailing Kit Fee rate, x2 teams, per 3-hour block period.
13.3 Exclusions.
AED pads and other high‑value items are billed separately at prevailing rates.
14. Fees, Invoicing & Payment
14.1 Currency & Taxes.
All amounts are in SGD and exclude GST (if applicable).
14.2 Rate Card & Prevailing Rates
Fees are set out in the Quotation, which references our Rate Card (our then‑current schedule of rates and charges).
"Prevailing Rates" means the rates on the Rate Card effective at the time we issue the Quotation.
If the Rate Card changes after an Order, the Quotation prevails for that Event.
14.3 Consultation Fees.
Consultation is billed per project based on scope and complexity, as set out in the Quotation.
14.4 Coverage Fees
Coverage is billed at the rates and minimums in the Quotation, plus Kit Fees and any agreed add‑ons.
14.5 Invoicing
Invoices are issued post‑Event (or as otherwise agreed).
14.6 Payment Terms
30 days from invoice date. Early payment discounts do not apply.
14.7 Late Payment
Overdue balances accrue a one-time penalty of an additional 20%.
Our rights are without prejudice to suspension of Services and other remedies.
14.8 Additional Services
Unquoted but requested/approved services are chargeable at our prevailing rates.
14.9 Invoice Queries
Any dispute or query on an invoice must be raised within 7 calendar days of receipt with sufficient particulars; undisputed amounts remain payable. After this period, the invoice is deemed accepted.
14.10 Billing Units & Rounding
Work time is billed in 30‑minute increments unless otherwise stated. Set‑up/stand‑down time on site forms part of the booked window. Extensions are billed per Clause 11.3.
14.11 Third‑Party & Venue Costs
Venue‑mandated fees (parking, accreditation, freight/porterage) and third‑party medical provider costs requested by the Client are rechargeable at cost unless stated otherwise in the Quotation.
14.12 Rate Card Updates
We may update the Rate Card from time to time. Updates apply only to future Quotations and do not affect an accepted Order unless the parties agree in writing.
15. Cancellations & Postponements
15.1 Notice
Cancellations must be emailed to contact@redstaff.info
15.2 Fees (part or whole cancellation):
≤ 7 days to Event: 100% of cancelled Services
8 – 14 days to Event: 75% of cancelled Services
15 – 21 days to Event: 50% of cancelled Services
≥ 22 days to Event: No Charge
Minimum cancellation charge: For partial cancellations, the minimum charge equals the applicable Service minimums for affected resources (3 hours per on‑site team; 3 hours per ambulance).
15.3 Postponement
One postponement to a new date scheduled within 90 days of the original Event date may be allowed at our discretion. If we cannot accommodate the new date, or if the Event is postponed again, the above cancellation fees apply.
15.4 Non‑appearance
If access is not provided or the Event does not proceed on the day for reasons outside our control, full fees are payable.
16. Insurance & Liability
16.1 Client Insurance
The Client must maintain appropriate public liability and event cancellation/contingency insurance. We accept no liability for the Client’s failure to insure.
16.2 Our Insurance
REDSTAFF Medical maintains appropriate professional and/or public liability cover for its operations.
16.3 Limitation
To the maximum extent permitted by law, REDSTAFF Medical’s aggregate liability arising out of or in connection with the Services is limited to the total fees paid or payable for the specific Event giving rise to the claim. We exclude all indirect, consequential or special losses, loss of profit, revenue, goodwill or anticipated savings. Nothing limits liability for death or personal injury caused by negligence, fraud, or other liability that cannot be excluded by law.
16.4 Indemnity
The Client indemnifies REDSTAFF Medical against claims, losses, costs and liabilities arising from (a) the Client’s breach of these Terms, (b) unsafe Event conditions or failure to comply with law, or (c) instructions that REDSTAFF Medical advised were inadequate but which the Client insisted upon.
17. Non‑Solicitation (of Our Personnel)
During the Order and for 6 months thereafter the end of the Event, the Client must not directly or indirectly solicit, hire or engage any Personnel introduced by REDSTAFF Medical for event medical services outside of REDSTAFF Medical, without our written consent. If breached, the Client shall pay a placement fee equal to 50% of the Personnel’s expected compensation (or SGD 5,000, whichever is higher) as a genuine pre‑estimate of loss
18. Subcontracting & Status
We may subcontract or assign parts of the Services. Personnel are independent contractors; nothing creates an employer‑employee relationship between the Client and Personnel. The Client must not issue clinical instructions to Personnel contrary to our protocols.
19. Force Majeure
Neither party is liable for delay or failure to perform due to causes beyond reasonable control (including extreme weather, acts of God, epidemic/pandemic restrictions, labour disputes, utility failures, governmental actions, civil disorder). Fees for Services performed up to suspension remain payable. Each party will use reasonable efforts to mitigate and resume performance.
20. Suspension or Withdrawal for Safety
We may suspend or withdraw Services without refund if, in our reasonable opinion, continuing would pose unacceptable risk to patients, Personnel, or the public (including inadequate security, violence, or unlawful conditions). We will notify the Client as soon as practicable.
21. Notices
Formal notices must be sent by email to contact@redstaff.info and deemed received at the earlier of confirmation or next business day. Parties may update notice details by written notice.
22. General
22.1 Entire Agreement
These Terms and the Quotation are the entire agreement for the Event.
22.2 Severability
If any provision is invalid, the remainder stays effective.
22.3 No Waiver
Failure to enforce is not a waiver.
22.4 Assignment
The Client may not assign without our consent (not to be unreasonably withheld).
22.5 Governing Law & Jurisdiction
Republic of Singapore law governs. Parties submit to the exclusive jurisdiction of the Singapore courts.
22.6 Electronic Acceptance.
Electronic signatures and email confirmations are valid and binding.
